Position Summary:

Lead legal strategies and operations for renewable energy projects, ensuring excellence in contract management and effective mitigation of contractual risks. Responsible for drafting, reviewing, and negotiating complex agreements such as EPCs, PPAs, PDAs, O&M contracts, and procurement agreements for major equipment (solar panels, wind turbine generators, etc.), while ensuring compliance with all legal and regulatory requirements.

Drive strategic initiatives including M&A, JVs, and MoUs, and manage related documentation such as Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Business Transfer Agreements (BTA), Asset Purchase Agreements, Escrow Agreements, Investment Agreements, Subscription Agreements, and NDAs, safeguarding the company’s interests across all transactions.

Collaborate with internal stakeholders to manage and mitigate contractual risks, resolve disputes, and provide comprehensive legal support throughout the project lifecycle. This role demands exceptional attention to detail, strong negotiation skills, and a deep understanding of the renewable energy sector.

Drafting, Reviewing, and Negotiating Contracts

• Draft, vet, and negotiate complex agreements including EPC, PPAs, balance of plant (BOP), O&M, PDAs, and other renewable energy project contracts.
• Prepare and review business agreements such as NDAs, service agreements, MoUs, RFPs, module procurement/supply agreements, escrow agreements, term sheets, power of attorneys, and general corporate documentation.
• Draft and review agreements for strategic initiatives including M&A, JVs, and related documentation such as Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Business Transfer Agreements (BTA), Asset Purchase Agreements, Escrow Agreements, Investment Agreements, Subscription Agreements, and NDAs.
• Standardize frequently used agreements and assist in creating and maintaining an online repository of executed agreements/documents.
• Assist in implementing automation tools for contract lifecycle management and litigation management.
• Maintain MIS and prepare regular reports to update management on the status of legal activities.
• Analyze contracts to identify risks and develop mitigation strategies.
• Identify critical issues during the contracting stage and recommend solutions to address or mitigate them.

Legal Research, Compliance, and Advisory

• Conduct legal research and provide opinions on compliance with corporate, labour, electricity, commercial, and industrial laws.
• Advise internal stakeholders on legal risks, regulatory changes, and compliance requirements relevant to renewable energy projects.

Litigation Support and Dispute Resolution

• Provide litigation support, including drafting and responding to legal notices, managing general litigations, and efficiently settling/closing existing or pre-litigation issues.
• Apply appropriate dispute resolution mechanisms and collaborate with external legal consultants and counsels.

Stakeholder Collaboration

• Collaborate with internal teams (project, finance, procurement, technical, etc.) to manage and mitigate contractual risks and provide legal support throughout the project lifecycle.

Job Description

The Senior Environmental & Social Impact Assessment Manager will be responsible for conducting comprehensive impact assessments and due diligence for renewable energy projects (including solar, wind, and battery storage). This role involves identifying and evaluating potential environmental and social "red flags" and risks early in a project's lifecycle to inform decision-making, ensure regulatory compliance, and mitigate future liabilities. 

Key Responsibilities

1. Environmental & Social Impact Assessment (ESIA) and Due Diligence

• Conduct rapid environmental and social screening and red flag analysis for new and potential renewable energy projects.
• Lead and manage the ESIA process, including scoping, baseline data collection, impact prediction, and mitigation planning, according to national regulations and international standards (e.g., IFC Performance Standards).
• Perform environmental and social due diligence (ESDD) to support project financing, mergers and acquisitions, and investment decisions.
• Review and analyze technical reports, permits, contracts, and other project documentation to identify and evaluate environmental and social risks.
• Advise project development teams on strategies to avoid, minimize, or compensate for identified impacts. 

2. Risk Analysis and Reporting

• Identify and flag critical environmental risks (e.g., impact on biodiversity, water resources, or land use) and social risks (e.g., community displacement, land acquisition issues, or stakeholder conflicts).
• Prepare clear, concise, and defensible "go/no-go" recommendations based on risk assessments for senior management and investors.
• Generate comprehensive reports, presentations, and memorandums detailing findings, potential impacts, and proposed mitigation measures.

3. Stakeholder Engagement and Regulatory Compliance

• Ensure that all projects comply with applicable environmental legislation, policies, and permitting requirements.
• Work with legal and project teams to address any identified compliance gaps. 

4. Monitoring and Project Support

• Assist in the preparation of bid submissions and procurement processes for third-party environmental and social services.
• Monitor ongoing projects to ensure adherence to ESMPs and track the effectiveness of implemented mitigation measures.
• Conduct site visits for inspection, baseline data collection, and follow-up monitoring as needed. 

Qualifications and Skills

• Education: Bachelor’s degree (+2 additional years of experience) or Master's degree in Environmental Science, Environmental Engineering or a related field.
• Experience: Minimum 5 years of progressive experience in conducting environmental and social impact assessments, risk management, and due diligence, preferably within the renewables or infrastructure sectors.
• Technical Knowledge:
